Terms of Service for Nubem Hosting

Welcome to Nubem! These Terms of Service (“Terms”) govern your use of our hosting services (“Services”) provided by Nubem (“we,” “our,” or “us”). By accessing or using our Services, you (“you,” “your,” or “Customer”) agree to be bound by these Terms.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By accessing or using Nubem’s Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any future amendments or updates. These Terms are a legal agreement between you and Nubem.

2. Services Provided

Nubem provides cloud hosting services, server management, storage solutions, and other related products and services (“Services”). Detailed descriptions of the Services can be found on our website.

3. Account Registration and Security

  • Account Creation: To use our Services, you must create an account with Nubem. You agree to provide accurate and complete information during registration and maintain the accuracy of this information.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. Notify Nubem immediately if you suspect unauthorized access or breach of your account.

4. Customer Obligations

You agree to use our Services only for lawful purposes and in accordance with all applicable laws, regulations, and third-party agreements. Specifically, you agree not to:

  • Violate any laws, including intellectual property, privacy, and data protection laws.
  • Upload or distribute illegal, abusive, harassing, defamatory, obscene, or infringing content.
  • Engage in any activity that could harm, disrupt, or interfere with the operation of our Services or the security of our systems.
  • Use the Services for unlawful spamming, phishing, or sending unsolicited communications.
  • Violate the Acceptable Use Policy (see below).

5. Acceptable Use Policy

Nubem’s Services are intended to provide a safe and professional environment for hosting and storage. By using our Services, you agree not to:

  • Engage in any illegal activity or violate the rights of any third party.
  • Use the Services to host, store, or transmit content that is harmful, offensive, or violates community standards.
  • Deploy malware, viruses, or any software intended to disrupt, harm, or degrade the performance of our services or other users’ systems.
  • Engage in excessive resource consumption or usage patterns that impact the performance and availability of the Services for other customers.

6. Billing and Payments

  • Fees: You agree to pay all fees associated with your use of our Services as outlined in your service agreement or our website’s pricing page.
  • Payment Terms: Payments for Services are due according to the billing cycle selected at the time of registration. Payments must be made in U.S. Dollars or Canadian Dollars, as applicable. If you fail to make timely payments, we may suspend or terminate your account.
  • Refund Policy: Nubem offers a [30/60]-day money-back guarantee for certain services, subject to terms. Refund requests must be made within the designated period and comply with our refund policy.

7. Service Availability and Downtime

While Nubem strives to provide reliable, uninterrupted Services, we cannot guarantee that our Services will always be available. We will make reasonable efforts to ensure minimal downtime and provide notice in advance where possible.

  • Service Maintenance: We may need to perform scheduled or emergency maintenance on our infrastructure, which may result in temporary service interruptions.
  • Service Level Agreement (SLA): Nubem commits to a 99.9% uptime for our Services, excluding scheduled maintenance or issues beyond our control.

8. Privacy and Data Protection

Your privacy is important to us. We will process your personal data in accordance with our Privacy Policy, which can be found on our website. By using our Services, you consent to the collection and processing of your personal data as described in the Privacy Policy.

9. Termination

You or Nubem may terminate your account at any time. Upon termination, you will no longer have access to the Services, and you may lose any data stored on our servers. Nubem reserves the right to terminate your account if you violate these Terms or engage in any activity that compromises the security or integrity of our Services. NO REFUNDS IF TERMINATED!

10. Indemnification

You agree to indemnify, defend, and hold harmless Nubem, its affiliates, employees, agents, and licensors from any claims, damages, liabilities, or expenses arising out of your use of the Services, including violations of these Terms, applicable laws, or third-party rights.

11. Limitation of Liability

To the fullest extent permitted by law, Nubem’s liability to you for any claims, damages, or losses arising from your use of our Services shall be limited to the total fees paid by you for the specific Service giving rise to the claim, in the preceding [12-month] period.

In no event shall Nubem be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption.

12. Dispute Resolution

  • Arbitration: Any disputes or claims arising out of or in connection with these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA) or the Canadian Arbitration Association, depending on your jurisdiction.
  • Governing Law: These Terms shall be governed by the laws of the state or province in which Nubem operates, without regard to its conflict of law principles.

13. Modifications to the Terms

Nubem reserves the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting on our website, and you will be notified of significant changes. Continued use of the Services after any changes constitutes acceptance of the new Terms.

14. Miscellaneous

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Entire Agreement: These Terms, along with any additional agreements or policies referenced herein, constitute the entire agreement between you and Nubem regarding the Services.
